Thank you for your interest in participating in a VeDA webinar or program. VeDA’s webinars and programs and the veda.thinkfic.com website (this “Website”) are owned and operated by Vertical Development Academy (“VeDA”). The terms and conditions under which you may participate in a VeDA webinar or program and use this Website are set forth below and in the Privacy Policy. All such terms and conditions are collectively referred to as the “Terms & Conditions.” By participating in a VeDA webinar or program, or using this Website, you agree to be bound by the agreement set forth in the Terms & Conditions. If you do not agree to be bound by the agreement set forth in the Terms & Conditions, you must not participate in a VeDA webinar or program or use this Site.


We encourage you to review the following information carefully.


Personal Use Only

Your participation in a VeDA webinar or program, and any content viewed through our site, or uploaded by us on a third-party site (e.g., YouTube) is solely for your personal and non-commercial use. With your VeDA webinar or program purchase, VeDA grants you a limited, non-exclusive, non-transferable, license to access the VeDA webinar or program content. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for public performances. VeDA may revoke your license at any time in its sole discretion. Upon such revocation, you must promptly destroy all content downloaded or otherwise obtained, as well as copies of such materials, whether made in accordance with these Terms of Service or otherwise.


You need to check the Terms & Conditions periodically for updates because your continued participation in a VeDA webinar or program and use of this Website signifies your acceptance of any changes to the agreement described in the Terms & Conditions. Intellectual Property

This Policy does not transfer from VeDA to you any of VeDA’s or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with VeDA. The VeDA logo and all other trademarks, service marks, graphics and logos used in connection with VeDA, or the Website are trademarks or registered trademarks of VeDA or VeDA’s licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any VeDA or third-party trademarks.


By accessing and/or using any application or service on the Website, you confirm that you accept and agree to be bound by these terms and acknowledge that they constitute a legally binding contract between us and you (and, if relevant, any organization and/or individual on whose behalf you are acting). if you are acting on behalf of any organization, you confirm that you have the requisite authority, power and right to fully bind that organization. if you (or, if relevant, your organization) do not agree to all of these terms (or if you do not have the right to bind your organization), you are not permitted to access or use any application or service, and you should not proceed further.


Terms for Individual Programs

The following terms are as stated on the registration page for each event. 


In the unlikely event that VeDA is unable to fulfill its obligation to provide content, payment will be refunded on a pro-rata basis (i.e. in the instance of a multiple session program, for the portion of the seminar content that VeDA was unable to provide).


Disclaimer of Warranties, Limitation of Liability and Release

VeDA does not guarantee the accuracy of information found in a VeDA webinar or program or on this Website and you agree that if you rely upon such information you do so at your own risk.


This site, and all content and materials found in a VeDA webinar/program or on or through this site, is provided to you “as is”, is educational in nature, and VeDA makes no warranties or representations, express or implied, regarding the timeliness, correctness, completeness, security, quality, availability, accuracy of data, or reliability of such content and materials or the presence or absence of errors, whether known or discoverable. 


VeDA also disclaims the implied warranties of merchantability, fitness for a particular purpose, absence of latent defects, title, and non-infringement of the rights of third parties in such content and materials. Applicable law may not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages, losses or causes of action. In such an event, VeDA’s aggregate liability to you and to all third parties for such damages, losses or causes of action shall not exceed USD$100. Furthermore, you agree to bring any and all actions within one year of the date such action occurred, and that all actions brought more than one year after such date will be barred.


In the event that you have a dispute with VeDA, you release VeDA (and its members, officers, directors, employees and agents) from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such dispute. If you are a California resident, you expressly waive your rights under California Civil Code section 1542 which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”


Information About Subscribers

All information VeDA collects in connection with a VeDA webinar or program or on this Website is subject to the Privacy Policy. By participating in a VeDA webinar or program or using this Website, you consent to all actions VeDA takes with respect to your information in compliance with the Privacy Policy.


No Waiver

Neither delay nor failure by VeDA to enforce any of the Terms & Conditions, nor reliance by any person on VeDA’ actions, constitutes a waiver of VeDA’ rights under the Terms & Conditions. Only a specific, written waiver signed by an officer of VeDA shall have any legal effect.


Severability

If a court of competent jurisdiction determines that any clause or provision of the Terms & Conditions is illegal, invalid or unenforceable under present or future law, such clause or provision shall be deemed to be deleted and severed from the Terms & Conditions without affecting the enforceability of all remaining clauses or provisions.


Entire Agreement 

The Terms & Conditions constitute the sole and entire agreement between you and VeDA regarding participation in a VeDA webinar or program and use of this Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding this Site.


Governing Law and Jurisdiction

The Terms & Conditions and any dispute arising under or related to the Terms & Conditions or to this Website shall be governed by the laws of the state of California, without reference to its conflict of law principles. Any such dispute shall be resolved exclusively in the state or federal courts in San Mateo County, California. You agree to submit to the personal jurisdiction and venue of courts located in San Mateo County, California for any legal proceeding involving this Website, regardless of who initiated such legal proceeding.

Your continued use of this Website constitutes your acceptance of and agreement to be bound by such changes without limitation or qualification.
